Partnership Agreement For Accommodations

Effective Date: 19th June 2025

This Agreement is entered between Trips to Africa Online, operating the digital platform Trips2Africa.com, an accommodation provider Collectively referred to as the “Parties”.

Parties agree to the outlined terms under which the Accommodation may list its property on the Trips2Africa.com platform and participate in the services we provide.

1. Definitions

Accommodation – Any safari-related lodging facility including, but not limited to, safari lodges, tented camps, eco-resorts, and safari guesthouses.

Accommodation Content – Text, images, videos, logos, and descriptive material submitted by the Accommodation for use on the Trips2Africa platform or its marketing channels.

Net Rates / STO Rates – Special rates offered by the Accommodation to Trips2Africa that are lower than the rates available to the general public on direct bookings.

Platform Wallet – The internal financial system used by Trips2Africa to collect and disburse payments on behalf of Accommodations.

Trips2Africa provides a curated platform to promote, list, and market safari-related accommodations to global travelers. Accommodations share their content and wholesale (STO) rates with Trips2Africa in order to receive exposure, client inquiries, and confirmed bookings.

3.1 Accuracy and Ownership

  • You represent and warrant that all information, rates, images, and media you provide are accurate, truthful, and legally yours to share.
  • All listings must reflect real and available facilities; false or misleading descriptions will lead to removal from the platform.

3.2 Use of STO Rates

  • You agree to provide Trips2Africa with special discounted (STO) rates, lower than your standard direct-booking rates available to the public.
  • These rates must include all relevant taxes, service charges, and applicable local fees.

3.3 Media Restrictions

  • Only original images and content from the actual property may be used.
  • Third-party stock photos, AI-generated visuals, or generic placeholder images are not permitted.
  • You confirm that submitted images are free from copyright or moral rights restrictions.
  • All property listings are manually reviewed and approved by the Trips2Africa team before they are published.

Trips2Africa acts as the booking facilitator and collects payments on behalf of the Accommodation. Our payment process includes the following terms:

  • Customer payments are held securely in the Platform Wallet.
  • Payments to Accommodations are made upon request or as per agreed payout schedules.
  • All payouts are made net of any applicable processing fees or platform costs.
  • For international card payments, there may be a delay of up to 3 working days before the funds are available for disbursement due to bank clearance periods.

By submitting your Accommodation Content, you grant Trips2Africa the right to:

  • Display, publish, promote, and distribute your content across all Trips2Africa digital and offline channels.
  • Use your brand assets (images, logos, names) in promotional emails, social media, third-party advertising, media kits, and marketing campaigns.
  • Translate, reformat, crop, or adapt the content as needed for marketing purposes, provided it does not distort the essence of your brand.

You acknowledge that such use is royalty-free and perpetual, and does not require additional permission or compensation.

  • You are fully responsible for service delivery to customers who book your property through Trips2Africa.
  • You agree to indemnify and hold harmless Trips2Africa from any claims, disputes, legal actions, or financial losses arising from false advertising, breach of agreement, guest complaints, or intellectual property violations.

Trips2Africa assumes no liability for service quality, disputes between guests and providers, or breakdowns related to Accommodation operations.

  • Trips2Africa will make reasonable efforts to ensure platform uptime and service availability. However, we do not guarantee uninterrupted access or continuous booking functionality. We are not liable for any losses incurred due to temporary downtime or maintenance activities.
  • Either party may terminate this Agreement with 30 days’ written notice, delivered by email.
  • Upon termination, your property listing will be removed from the platform and future bookings will be disabled.
  • All prior subscription fees are non-refundable, including if the listing is removed or the Agreement is terminated early.
  • Trips2Africa reserves the right to suspend or immediately terminate listings in cases of misconduct, customer harm, fraud, or breach of these terms.

This Agreement is governed by the laws of the Republic of Kenya. Any disputes arising from this Agreement shall be submitted to the competent courts of Nairobi, Kenya.

Trips2Africa may revise or update these Terms at its sole discretion. Any changes will be communicated to Accommodations via email or posted on the website. Continued use of the platform constitutes acceptance of the revised terms.

This Agreement supersedes all prior agreements or understandings, oral or written, between the parties regarding the subject matter herein. Any amendments must be made in writing and agreed upon by both parties.
